Item 2.02. Results of Operations and Financial Condition.

On November 20, 2017, Marvell Technology Group Ltd. (“Marvell”) and Cavium, Inc. (“Cavium”) issued a joint press release that includes, among other things, Marvell’s preliminary results for the third quarter ended October 29, 2017. A copy of the joint press release is furnished as Exhibit 99.1 and is incorporated herein by reference.

 

Item 7.01 Regulation FD Disclosure.

On November 20, 2017, Marvell and Cavium issued a joint press release announcing, among other things, the execution of the Merger Agreement by and among Marvell, Kauai Acquisition Corp., a Delaware corporation and an indirect wholly owned subsidiary of Marvell (“Merger Sub”), and Cavium (the “Merger Agreement”). Pursuant to the Merger Agreement, Merger Sub will be merged with and into Cavium, with Cavium continuing as an indirect wholly owned subsidiary of Marvell.

A copy of the joint press release is furnished as Exhibit 99.1.
