EXPLANATORY NOTE / DEREGISTRATION OF UNSOLD SECURITIES

Internap Corporation (the “Company”) registered the public offer and sale from time to time pursuant to Rule 415 of the Securities Act of 1933, as amended, 27,201,987 shares of the common stock, par value $0.001 per share (“Common Stock”), of the Company (the “Registered Common Stock”) pursuant to a registration statement on Form S-3 (File No. 333-216965), originally filed with the Securities and Exchange Commission on March 27, 2017 (the “Registration Statement”). The Registration Statement was declared effective on April 27, 2017.

As previously disclosed, on March 16, 2020, the Company and certain subsidiaries filed voluntary petitions for relief (collectively, the “Chapter 11 Cases”) under Title 11 of the United States Code in the United States Bankruptcy Court for the Southern District of New York, White Plains Division.  As a result of the Chapter 11 Cases, the Company has terminated all offerings of securities pursuant to the Registration Statement.

Accordingly, in accordance with the undertaking contained in the Registration Statement pursuant to Item 512(a)(3) of Regulation S-K, this Post-Effective Amendment No. 1 to the Registration Statement is being filed to remove from registration, as of the date hereof, all of the Registered Common Stock that have not been and will not be issued under the Registration Statement. Upon effectiveness thereof, none of the Registered Common Stock remains registered under the Registration Statement for issuance and the Company hereby terminates the effectiveness of the Registration Statement.
