ITEM 5.02 – Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Harvey C. DeMovick, Jr., Executive Vice President, Customer Service Operations, and Chief Information Officer will retire from Coventry Health Care, Inc. (the “Company”) effective August 17, 2007. As anticipated by the Company’s long-standing succession plan, David Finkel will assume sole leadership of the Company’s customer service operations and Maria Fitzpatrick will lead the Company’s information technology division.
