12. Employee Benefit Plan

We maintain a Profit Sharing and Deferred Compensation Plan, The BSQUARE Corporation

(k) Plan and Trust (the “Profit Sharing Plan”) under Section

(k) of the Internal Revenue Code. Substantially all full-time employees are eligible to participate in the Profit-Sharing Plan. We typically elect to match the participants' contributions to the Profit-Sharing Plan up to a certain amount subject to vesting.
