ITEM 5.03 AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR

Nexicon, Inc. (the “Company”), filed a Certificate of Amendment to its Articles of Incorporation (the “Certificate of Amendment”) with the Secretary of State of the State of Nevada to effect a reverse split at a ratio of one-for-1.6 of the issued and outstanding shares of common stock of the Company.  The Certificate of Amendment also reduced the number of authorized shares of common stock of the Company at a ratio of one-for-1.6.  The reverse split was effective as of April 16, 2008.

In addition, effective April 28, 2008, the Company’s quotation symbol on the Over-the-Counter Bulletin Board was changed from NXCN to NXCO.
