The review of the information required to be presented in the Form 10-Q for the three month and six month periods ending June 30, 2019 could not be completed and filed by August 14, 2019 without unreasonable effort and expense to the Registrant. Additional time is needed for the Registrant in order to permit the Registrant to complete its review and to present complete and accurate information in the Form 10-Q for the three month and six month periods ending June 30, 2019.  At the present time, the Registrant expects to file its Form 10-Q with the Securities and Exchange Commission (the “SEC”) on or before August 19, 2019, the fifth calendar day following the due date of the Form 10-Q.

Due to a sustained decline in the market capitalization of our common stock during the second quarter of 2019, we performed an interim goodwill impairment test. Management considered that, along with other possible factors affecting the assessment of the Company’s reporting unit for the purposes of performing a goodwill impairment assessment, including management assumptions about expected future revenue forecasts and discount rates, changes in the overall economy, trends in the stock price, estimated control premium, other operating conditions, and the effect of changes in estimates and assumptions could materially affect the determination of fair value and goodwill. As a result of the significant decline in the current market capitalization and despite any of the other positive factors contemplated and the absence of any changes in our business operations, the outcome of this goodwill impairment test resulted in a charge for the impairment of goodwill for the remaining carrying value of $6.7 million.
