Item 8.01. Other Events.

     On July 20, 2004, Annuity and Life Re (Holdings), Ltd. (the “Company”) announced that it had reached an agreement in principle to settle the shareholder lawsuit pending against it and certain of its present and former directors and officers in the United States District Court for the District of Connecticut. The Company’s share of the settlement was $5.0 million, of which $2.5 million was payable in cash and the remaining $2.5 million was payable in cash or Company common shares at the election of the Company. On January 10, 2005, the Company elected to pay the remaining $2.5 million in cash. The settlement requires Court approval and cannot be consummated unless and until such approval is obtained.
