Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 9, 2019, Telephone and Data Systems, Inc. (TDS) approved the Telephone and Data Systems, Inc. Executive Deferred Compensation Program (the Plan). The Plan is an unfunded nonqualified deferred compensation arrangement established for the purpose of providing deferred compensation for officers of TDS and certain specified affiliates of TDS. Pursuant to the Plan, officers may elect to defer base salary and bonus. The officer's deferred compensation account is credited with interest compounded monthly, computed at a rate equal to one-twelfth of the sum of the average thirty-year Treasury Bond rate of interest for the preceding calendar month plus 1.25%. The officers' deferred compensation account becomes payable upon the earlier of the seventh calendar month following the calendar month during which the officer separates from service, disability or death. Payment shall be in either a lump sum or installments, as elected by the officer at the time the officer entered the Plan.
