Item 8.01 Other Events.

On April 22, 2010, Verenium Biofuels Corporation (“Verenium Biofuels”), a wholly owned subsidiary of Verenium Corporation, issued a press release announcing the award of an additional $4.9 million from the U.S. Department of Energy (“DOE”) to fund ongoing activities at the Company’s demonstration-scale facility in Jennings, Louisiana. This cooperative agreement is an extension of the grant previously awarded to the Company on July 14, 2008 under a DOE program supporting the development of demonstration-scale cellulosic ethanol biorefinery plants.

A copy of this press release is attached hereto as Exhibit 99.1.
