Item 3.01.
Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

 
On December 5, 2008, Verenium (the “Company”) received a letter from The NASDAQ Stock Market (“NASDAQ”) notifying it that for the prior 10 consecutive trading days, the Company’s market capitalization was below the minimum of $50 million required for continued inclusion on The NASDAQ Global Market under Marketplace Rule 4450(b)(1)(A) (the “Rule”) and, alternatively, total assets and total revenues of $50 million each for the most recently completed fiscal year (2007), or for two of the three most recent fiscal years, as required under the Rule. The Company has 30 calendar days, or until January 5, 2009, to regain compliance with either of these criteria. Should the Company not regain compliance within that time, it may file an appeal with the NASDAQ Listing Qualifications Panel to remain listed on the NASDAQ Global Market or may apply for a transfer of its listing to The NASDAQ Capital Market.
 
The notification has no effect on the listing of Verenium common stock at this time, nor during any appeal, if necessary. The Company will continue to trade on the NASDAQ Global Market under the symbol VRNM.
