Item 2.02 Results Of Operations And Financial Condition.

WSI Industries, Inc. (the “Company”) issued a press release on June 18, 2008 disclosing material non-public information regarding its results of operations for the quarter ended May 25, 2008. The Company hereby furnishes the press release, which is attached hereto as Exhibit 99.1.

Item 8.01 Other Events.

Through the press release issued on June 18, 2008, the Company also announced that its Board of Directors has declared a dividend of $0.0375 per share of common stock payable July 16, 2008 to holders of record on July 2, 2008.
