Shareholders’ Equity

Our shareholders have authorized 50,000,000 preferred shares at $0.01 par value, of which none are issued or outstanding, and 200,000,000 ordinary shares of common stock at $0.01 par value, of which 52,590,851 are issued and outstanding at September 25, 2015.

On July 29, 2015, our Board of Directors approved a three-year stock repurchase program of up to $300 million of our ordinary shares, in addition to the three-year stock repurchase program to repurchase up to $300 million of our ordinary shares approved on May 1, 2013. We have repurchased $285.5 million of ordinary shares, or 8,909,491 ordinary shares, under the aforementioned repurchase programs and retired all the repurchased shares. We purchased 2,363,996 ordinary shares at a purchase price of $34.50 per share in a modified Dutch auction tender offer completed on December 8, 2014. The modified Dutch auction tender offer was conducted as part of the stock repurchase program. We have a maximum dollar amount value of $314.5 million of shares that we can purchase under the combined stock repurchase programs.

Subsequent to the nine months ended September 25, 2015, we repurchased 109,705 ordinary shares for $4.3 million with an average price per share of $39.29.

We paid $19.7 million in dividends in the nine months ended September 25, 2015 and $20.9 million in dividends in the nine months ended September 26, 2014.
