The number of options reported in this form and the exercise price thereof have been adjusted to reflect the three for two stock split. For estate planning purposes, the Reporting Person made a capital contribution of these securities to Maywood Investment Company, LLC ("MIC"). At the time of the contributions disclosed herein, the Reporting Person was the managing member of MIC; however, as of the date of this filing, the Reporting Person is not the managing member of MIC, nor does he own or control a majority of the membership interests in MIC. This Form 4 amends a prior amendment filed on June 3, 2004 to a Form 4 filed on January 1, 2003 (the "Original Amendment"). In the Original Amendment, the exercise price of the derivative security reported herein was inadvertently reported in column 8. The price reported in column 8 should have been "$0" as reflected in this report. These options fully vest on December 31, 2009. However, these options are subject to accelerated vesting, in accordance with the following schedule,depending on whether and to what extent the Company's common stock price exceeds the average common stock price of a specified peer group at the end of each performance period. These options may vest on December 31, 2004 based on the performance period of January 1, 2002 to December 31, 2004. These options fully vest on December 31, 2009. However, these options are subject to accelerated vesting, in accordance with the following schedule, depending on whether and to what extent the Company's common stock price exceeds the average common stock price of a specified peer group at the end of each performance period. These options may vest on December 31, 2005 based on the performance period of January 1, 2003 to December 31, 2005. These options fully vest on December 31, 2009. However, these options are subject to accelerated vesting, in accordance with the following schedule, on whether and to what extent the Company's common stock price exceeds the average common stock price of a specified peer group at the end of each performance period. These options may vest on December 31, 2006 based on the performance period of January 1, 2004 to December 31, 2006.
