Explanation of Responses:
1. Stock options granted under the Building Materials Holding Corporation (the "Company") 2004 Incentive and Performance Plan. These options are exercisable as to 1/3 of the total number of options granted on the grant anniversary of each year.
2. Stock Options granted under the Building Materials Holding Corporation (the "Company") 1993 Stock Option Plan. These options are exercisable as to 25% of the total number of options granted on December 31 of each year.
3. Stock Options granted under the Building Materials Holding Corporation (the "Company") 2000 Stock Option Plan. These options are exercisable as to 25% of the total number of options granted on December 31 of each year.
4. Restricted stock has a 3-year cliff vesting.
5. No change since last Form 4.
