Regulation FD Disclosure.

On October 25, 2023, Choice Hotels International, Inc. (“Choice”) issued a press release (the “Press Release”) announcing its call upon the board of directors of Wyndham Hotels & Resorts, Inc. (“Wyndham”) to engage in discussions regarding its proposal to acquire all of the outstanding shares of Wyndham for per-share consideration of $90.00 in a mix of cash and stock announced on October 17, 2023. A copy of the Press Release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
