AMENDMENT TO

DISTRIBUTION AGREEMENT

THIS AMENDMENT is made as of June 30, 2015, by and between The James Advantage Funds (the “Trust”), organized as a Ohio business trust, and ALPS Distributors, Inc. (“ALPS Distributors”), a Colorado corporation.

WHEREAS, the Trust and ALPS Distributors have entered into a Distribution Agreement dated November 1, 2011 (the “Agreement”);

WHEREAS, effective July 1, 2015, the James Aggressive Allocation Fund was added as a series of the Trust; and

WHEREAS, the Trust and ALPS Distributors wish to modify the Agreement to reflect the addition of the James Aggressive Allocation Fund.

NOW, THEREFORE, the parties hereto, intending to be legally bound, agree as follows:

1. Effective as of July 1, 2015, Appendix A of the Agreement is hereby deleted in its entirety and replaced with a new Appendix A attached hereto.

2. All other provisions of the Agreement shall remain unchanged.
