&lt;div style="line-height: 11.4pt; text-indent: 36pt; display: block; margin-left: 0pt; margin-right: 0pt;" align="justify"&gt;&lt;font style="display: inline; font-family: Times New Roman; font-size: 10pt;" class="_mt"&gt;We recorded net income tax expense on continuing operations&amp;nbsp;of $2 and $11 for the three and six months ended June 30, 2010, respectively, and&amp;nbsp;net income tax expense on continuing operations&amp;nbsp;of $10 and $3 for the three and six months ended June 30, 2009, respectively.&amp;nbsp;&amp;nbsp;Our income tax expense or benefit is affected by changes in unrecognized tax benefits and the mix of income and losses in the tax jurisdictions in which we operate.&amp;nbsp;&amp;nbsp;The net income tax expense for the three months ended June 30, 2010 included a $6 reduction in a valuation allowance of an ex-U.S. entity.&amp;nbsp;&amp;nbsp;Included in the net income tax expense for the six months ended June 30, 2009 is a &lt;font style="display: inline; font-family: Times New Roman;" class="_mt"&gt;tax benefit of $10 recognized in this period due to developments in relevant tax case law.&amp;nbsp;&amp;nbsp;&lt;/font&gt;For both of the periods presented, we recorded income tax expense on ex-U.S. earnings but a full valuation allowance against the tax benefit on losses experienced in the U.S.&lt;/font&gt;&lt;/div&gt;

&lt;div style="line-height: 11.4pt; text-indent: 36pt; display: block; margin-left: 0pt; margin-right: 0pt;" align="justify"&gt;&lt;font style="display: inline; font-family: Times New Roman; font-size: 10pt;" class="_mt"&gt;&lt;font style="display: inline; font-family: Times New Roman; font-size: 10pt;" class="_mt"&gt;The total amount of unrecognized tax benefits, inclusive of interest and penalties, at June 30, 2010 and December 31, 2009 was $147 and $155, respectively.&amp;nbsp;&amp;nbsp;Included in the balance at June 30, 2010 and December 31, 2009 were $53 and $54, respectively, of unrecognized tax benefits that, if recognized, would impact the effective tax rate&lt;font style="display: inline; font-family: Times New Roman;" class="_mt"&gt;.&amp;nbsp;&amp;nbsp;The decrease in the amounts is mainly the result of the closure of tax audits, statute of limitation expirations and the effect of currency exchange rate fluctuations, offset by tax positions with respect to events in the current year.&lt;/font&gt;&amp;nbsp;&amp;nbsp;&lt;/font&gt;&lt;/font&gt;&lt;/div&gt;
