Explanation of Responses:
1. This transaction was effected pursuant to a Rule 10b5-1 trading plan adopted by the reporting person on October 28, 2002.
2. The reporting person also indirectly beneficially owns 1,800 shares owned by his spouse.
3. This option vested in three equal annual installments on July 17, 1999, July 17, 2000 and July 17, 2001. The filing of this Statement shall not be construed as an admission (a) that the person filing this Statement is, for the purposes of Section 16 of the Securities Exchange Act of 1934 (as amended), the beneficial owner of any equity securities covered by this Statement, or (b) that this Statement is legally required to be filed by such person.
4. This option was previously reported as covering 8,000 shares at an exercise price of $5.75 per share. On June 25, 2002, ACMR's Board of Directors approved a two-for-one stock split to shareholders of record as of the close of business on July 15, 2002 (the "Stock Split"). As a result of the Stock Split, this option was adjusted into an option to purchase 16,000 shares at an exercise price of $2.875.
5. This option vested in three equal annual installments on July 19, 2000, July 19, 2001 and July 19, 2002.
