Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(b) Ms. Gayle A. Crowell has resigned from the board of directors of Indus International, Inc. (the "Company") effective as of January 1, 2005. Ms. Crowell will continue to serve on the board and as a member of the Company’s nominating and corporate governance committee until that date. Ms. Crowell did not resign due to any disagreement with the Company.
