On September 30, 2005, the registrant entered into an Amended and Restated Advisory Agreement (the "Agreement") with its advisor, Carey Asset Management Corp. (the "Advisor"). The Agreement has a term of one year and replaces the prior advisory agreement that was in effect until September 29, 2005. The Agreement provides that the Advisor will continue to be responsible for managing the registrant on a day-to-day basis and for identifying and making acquisitions on the registrant's behalf. The fees payable to the Advisor for services under the Agreement have not been increased from the fees payable under the prior advisory agreement.
