These shares are convertible at any time and are not subject to expiration. Convertible on a 1 for 1 basis. On May 14, 2002, the Reporting Person, for itself, and on behalf of its joint beneficial owners identified in the Form 3 filing made by the Reporting Person on July 15, 2002, became the holder of more than 10% of the Issuer's outstanding common stock. Due to an oversight, that Form 3 filing disclosed that the Reporting Person was the direct holder of 500,000 shares of the Issuer's common stock. As a result of the Reporting Person's open market purchase of 82,500 shares of Issuer's common stock on February 9, 2000, the Reporting Person should have reported that it diretly held 582,500 shares of Issuer's common stock on May 14, 2002.
