Item 2.02. Results of Operations and Financial Condition.
On May 12, 2022, Intellicheck, Inc. (the “Company”) issued a press release postponing its earnings release and conference call for the first quarter ended March 31, 2022. In connection with the postponement, the Company announced that while it is still finalizing its financial statements for the quarter, the Company currently anticipates revenue for the three months ended March 31, 2022, to be approximately $3.39 million with Adjusted EBITDA for the period to be approximately ($808,000).

Intellicheck Postpones First Quarter 2022
Earnings Report and Conference Call
MELVILLE, NEW YORK – May 12, 2022 - Intellicheck, Inc. (Nasdaq: IDN), an industry-leading identity company delivering on-demand digital and physical identification validation solutions, today announced that it is postponing its earnings conference call to allow for additional time for the Company and the Company’s external auditors to complete the accounting analysis pertaining to the Company’s equity compensation program.
Although the Company is still finalizing its financial statements for the quarter, the Company currently anticipates revenue for the three months ended March 31, 2022, to be approximately $3.39 million with Adjusted EBITDA for the period to be approximately ($808,000).
The Company will issue a press release announcing the new date and time for the postponed earnings call upon the completion of the accounting analysis.
