RESULTS OF OPERATIONS AND FINANCIAL CONDITION


On May 9, 2007, Helios & Matheson North America Inc. a New York corporation (the “Company”), issued a press release announcing its financial results for the three months ended March 31, 2007.  A copy of the Company’s press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
