(4) These shares are owned by DTC Holdings Corporation, a wholly-owned subsidiary of D.T. Chase Enterprises, Inc. ("DTCE"). The reporting person owns 14.74% of the common stock of DTCE. The reporting person is a Director, Executive Officer and General Counsel of DTCE and a Director and Executive Officer of DTC Holdings Corporation.
