7.    SUBSEQUENT EVENTS

Management has evaluated subsequent events as of the financial statement date according to the requirements of ASC TOPIC 855 and has the following events to be reported:

On August 3, 2016 XsunX, Inc. (the “Company”) authorized the issuance of 24,290,776 shares of common stock upon the conversion of $16,000 of principal, and $2,218.08 of accrued interest to the holder of a 10% convertible note. The securities above were offered and sold pursuant to an exemption from the registration requirements under Section 4(a) 2 of the Securities Act since, among other things, the transactions did not involve a public offering.
