As a result, he is no longer required to report transactions or holdings of shares owned by such trust. Prior to the event described in footnote 1 above, the reporting person was deemed to have indirect beneficial ownership of shares held by the Arnold Hermelin Trust as trustee solely because the reporting person was one of three trustees of such trust and the beneficiary of the trust is a sibling of the reporting person. The reporting person transferred, without receiving any consideration, his general partnership interest in the Yeshayahu and Ruth Ilan Partnership to a third party. As a result, he is no longer required to report transactions or holdings of shares owned by such partnership. Prior to the event described in footnote 3 above, the reporting person was deemed to have indirect beneficial ownership of shares held by the Yeshayahu and Ruth Ilan Partnership solely because the reporting person was the general partner of the partnership.
