ITEM 1.01. 
ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

On December 15, 2009, Signature Eyewear, Inc. (the “Company”) entered into an amendment to its Loan and Security Agreement dated September 14, 2007 with Comerica Bank under which Comerica Bank has provided a revolving credit facility to the Company.  The amendment extends the maturity date of the facility to December 1, 2011 from February 28, 2010.  In addition, the amendment changes the interest rate margins over the applicable reference rates to 1.0% over the bank’s prime rate and 3.0% over LIBOR.  Lastly, and at the Company’s request, the maximum borrowing capacity under the facility was reduced from $4.8 million to $4.0 million, principally because the Company’s outstanding borrowings under the facility have been substantially less than $4.0 million.  The lower revolving line of credit limit will reduce the fees payable by the Company.
