Departure of Named Executive Officer
Effective March 5, 2007, Vincent P. Niedzielski will no longer serve as the Executive Vice President, Research and Development of QAD Inc. (the "Company"). The Company and Mr. Niedzielski are currently negotiating the terms of a consulting agreement.
