Item 2.02 Results of Operations and Financial Condition

     On October 31, 2005, Dobson Communications Corporation issued a press release announcing its results for its third quarter ended September 30, 2005. A copy of the press release is attached hereto as Exhibit 99.1. The transcript from a conference call held on November 1, 2005 related to the third quarter results is attached hereto as Exhibit 99.2.
