Item 5.02.            Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.
 
On June 24, 2009, Michael G. Cestone notified First National Community Bancorp, Inc. (the “Corporation”) of his retirement from the board of directors of the Registrant and its wholly-owned subsidiary, First National Community Bank (the “Bank”), effective immediately.  Mr. Cestone served on the Corporation’s compensation committee and the Bank’s senior loan committee.  The resignation was not the result of a disagreement with the Corporation on any matter relating to the Corporation’s or Bank’s operations, policies or practices.  The board of directors thanks Mr. Cestone for his service and contributions to the Corporation and Bank.
