                                    NARRATIVE

         State below in reasonable detail the reasons why Form 10-K, 11-K, 20-F,
10-Q,  N-SAR or the transition  report portion thereof could not be filed within
the prescribed time period.



     The Company's  independent auditors alerted us of necessary  adjustments to
interest  expenses for the for ended  December  31, 1998 and also the  quarterly
periods  ended March 31, 1999 and June 30, 1999.  We have filed today,  November
15, 1999,  the  respective  10-KSB/A  and two  10-QSB/A for the above  mentioned
periods.

     Due to the above  adjustments,  we are  unable to file the  10-QSB  for the
quarter  ended  September  30,  1999 on time but will  definitely  make the said
filing by Wednesday November 17, 1999.
