Specifically, among other aspects, the new guidance amends previous guidance related to the concept of a qualifying special-purpose entity, variable interest entities that are qualifying special-purpose entities and the financial-components approach.&amp;#160;&amp;#160;The new guidance is effective for transfers of financial assets occurring on or after January&amp;#160;1, 2010.&amp;#160;&amp;#160;Historically, the Company has not had any material transfers of financial assets.&amp;#160;&amp;#160;Additionally, the FASB recently amended its guidance surrounding a company&amp;#8217;s analysis to determine whether its variable interest or interests give it a controlling financial interest in a variable interest entity. The primary beneficiary of a variable interest entity is the enterprise that has both (1)&amp;#160;the power to direct the activities of a variable interest entity that most significantly impact the entity&amp;#8217;s economic performance and (2)&amp;#160;the obligation to absorb losses of the entity that could potentially be significant to the variable interest entity or the right to receive benefits from the entity that could potentially be significant to the variable interest entity. This new guidance also requires ongoing reassessments of whether an enterprise is the primary beneficiary of a variable interest entity. The guidance is effective for all variable interest entities and relationships with variable interest entities existing as of January&amp;#160;1, 2010.&amp;#160;&amp;#160;The impact of the adoption of this standard to the Company&amp;#8217;s non-financial assets and liabilities was not material.&lt;/font&gt;&lt;/div&gt;&lt;/div&gt;&lt;div style="DISPLAY: block; TEXT-INDENT: 0pt"&gt;&lt;br /&gt;&lt;/div&gt;&lt;div style="DISPLAY: block; MARGIN-LEFT: 0pt; TEXT-INDENT: 18pt; MARGIN-RIGHT: 0pt" align="justify"&gt;&lt;font style="DISPLAY: inline; FONT-SIZE: 10pt; FONT-FAMILY: Times New Roman"&gt;In October 2009, the FASB updated its revenue recognition guidance, amending the criteria for separating consideration in multiple-deliverable arrangements. The amendments establish a selling price hierarchy for determining the selling price of a deliverable. The selling price used for each deliverable will be based on vendor-specific objective evidence if available, third-party evidence if vendor-specific objective evidence is not available, or estimated selling price if neither vendor-specific objective evidence nor third-party evidence is available. The amendments will eliminate the residual method of allocation and require that arrangement consideration be allocated at the inception of the arrangement to all deliverables using the relative selling price method. The relative selling price method allocates any discount in the arrangement proportionally to each deliverable on the basis of each deliverable&amp;#8217;s selling price. This update will be effective prospectively for revenue arrangements entered into or materially modified in fiscal years beginning on or after June 15, 2010. Early adoption is permitted. &lt;font style="DISPLAY: inline; FONT-FAMILY: Times New Roman"&gt;The Company is &lt;/font&gt;currently evaluating the requirements of this update and has not yet determined the impact on the Company&amp;#8217;s consolidated financial statements.&lt;/font&gt;&lt;/div&gt;&lt;div style="DISPLAY: block; TEXT-INDENT: 0pt"&gt;&lt;br /&gt;&lt;/div&gt;&lt;div style="DISPLAY: block; MARGIN-LEFT: 0pt; TEXT-INDENT: 18pt; MARGIN-RIGHT: 0pt" align="justify"&gt;&lt;font style="DISPLAY: inline; FONT-SIZE: 10pt; FONT-FAMILY: Times New Roman"&gt;In October 2009, the FASB updated its software guidance, changing the accounting model for revenue arrangements that include both tangible products and software elements. Tangible products containing software components and non-software components that function together to deliver the tangible product&amp;#8217;s essential functionality are no longer within the scope of the software revenue guidance. In addition, the amendments require that hardware components of a tangible product containing software components always be excluded from the software revenue guidance. This update will be effective prospectively for revenue arrangements entered into or materially modified in fiscal years beginning on or after June 15, 2010. Early adoption is permitted. &lt;font style="DISPLAY: inline; FONT-FAMILY: Times New Roman"&gt;The Company is &lt;/font&gt;currently evaluating the requirements of this update and has not yet determined the impact on the Company&amp;#8217;s consolidated financial statements.&lt;/font&gt;&lt;/div&gt;&lt;div style="DISPLAY: block; MARGIN-LEFT: 0pt; TEXT-INDENT: 0pt; MARGIN-RIGHT: 0pt"&gt;&lt;div style="DISPLAY: block; TEXT-INDENT: 0pt"&gt;&lt;br /&gt;&lt;/div&gt;&lt;div style="DISPLAY: block; MARGIN-LEFT: 0pt; TEXT-INDENT: 18pt; MARGIN-RIGHT: 0pt" align="justify"&gt;&lt;font style="DISPLAY: inline; FONT-SIZE: 10pt; FONT-FAMILY: Times New Roman"&gt;In January 2010, the FASB updated it guidance related to fair value measurements and disclosures&lt;font style="DISPLAY: inline; FONT-STYLE: italic"&gt;.&lt;/font&gt; This guidance requires some new disclosures and clarifies some existing disclosure requirements about fair value measurement in order to improve these disclosures and, thus, increase the transparency in financial reporting. Specifically, guidance requires a reporting entity to disclose separately the amounts of significant transfers in and out of Level 1 and Level 2 fair value measurements and describe the reasons for the transfers and present separately information about purchases, sales, issuances, and settlements in the reconciliation for fair value measurements using significant unobservable inputs.&amp;#160;&amp;#160;In addition, the FASB clarified the disclosure requirements related to the use of judgment in determining the appropriate classes of assets and liabilities when reporting fair value measurement for each class and about the valuation techniques and inputs used to measure fair value for both recurring and nonrecurring fair value measurements.&amp;#160;&amp;#160;The update is effective for interim and annual reporting periods beginning after December 15, 2009, except for the disclosures about purchases, sales, issuances, and settlements in the roll forward of activity in Level 3 fair value measurements. Those disclosures are effective for fiscal years beginning after December 15, 2010, and for interim periods within those fiscal years.
