On April 24, 2007, the shareholders of VF Corporation approved an Amendment and Restatement of VF’s 1996 Stock Compensation Plan (the “Amended and Restated Plan”). A description of the terms and conditions of the Amended and Restated Plan is set forth in the VF Corporation Proxy Statement for the 2007 Annual Meeting of Shareholders (the “2007 Proxy Statement”) filed with the Securities and Exchange Commission on March 22, 2007, and a copy of the Amended and Restated Plan is attached to the 2007 Proxy Statement as Appendix B, incorporated herein by reference.
