Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing

On February 15, 2007, Silverleaf Resorts, Inc. (the “Registrant”) notified both the American Stock Exchange and The NASDAQ Stock Market LLC of its intent to cease trading of its Common Stock, $0.01 par value, on the American Stock Exchange. The Registrant’s common stock has been approved for trading on The NASDAQ Capital Market under the symbol “SVLF.” The Registrant believes that trading will commence on The NASDAQ Capital Market on or about March 1, 2007.

Item 7.01 Regulation FD Disclosure

On February 15, 2007, the Registrant issued a press release announcing the transfer of its listing from the American Stock Exchange to The NASDAQ Capital Market. A copy of the press release is attached as Exhibit 99.1 to this Form 8-K. The information in this item (including Exhibit 99.1) is being furnished pursuant to Item 9.01 and shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934 (the “Exchange Act”) or otherwise subject to the liabilities of that section, nor shall it be incorporated by reference in any filing under the Securities Act of 1933 or the Exchange Act, regardless of any general incorporation language in the filing.
