Pursuant to a merger agreement between the issuer, SmithKline Beecham Corporation and Pilgrim Acquisition Corporation ("Purchaser"), Purchaser commenced a cash tender offer (the "Offer") for all of issuer's outstanding common stock, at a cash purchase price of $5.00 per share (the "Offer Price"). This option, which vested over a 12-month period, was terminated immediately prior to the purchase of shares by Purchaser pursuant to the Offer (the time of such purchase of shares, the "Purchase Time"), in exchange for the right to receive a cash payment in the amount of $3,680.00, representing the product of (i) the number of shares subject to such option (4,000) and (ii) the excess of the Offer Price ($5.00), without interest, over the exercise price per share subject to such option ($4.08).
