Item 8.01 Other Events.

Globecomm Systems Inc. (the “Registrant”) has today announced that it had priced its previously announced underwritten public offering of shares of its common stock at $11.25 per share. The company is issuing 3,000,000 shares of its common stock in the offering. The offering is made pursuant to the Registrant’s effective shelf registration statement previously filed with the Securities and Exchange Commission on March 21, 2007. The underwriters have an option to purchase up to an additional 450,000 shares of common stock from the Registrant to cover over-allotments, if any. A copy of the press release is attached hereto as Exhibit 99.1.

Globecomm Systems Prices Underwritten Public Offering of
Common Stock at $11.25 Per Share

HAUPPAUGE, N.Y.—(BUSINESS WIRE)—August 17, 2007—Globecomm Systems Inc. (NASDAQ: GCOM-News), a global provider of end-to-end satellite-based communications solutions, today announced that it has priced its previously announced underwritten public offering of shares of its common stock at $11.25 per share. The company is issuing 3,000,000 shares of its common stock in the offering. The underwriters have an option to purchase up to an additional 450,000 shares of common stock from the company to cover over-allotments, if any.

Needham & Company, LLC and Stephens Inc. acted as joint book-running managers in the offering and Susquehanna Financial Group, LLLP acted as co-manager.

A registration statement relating to the offering was filed with and declared effective by the Securities and Exchange Commission. The offering is being made only by means of a prospectus supplement and accompanying prospectus.
