The description of GulfMark Offshore, Inc.’s (the “Registrant”) common stock, par value $0.01 per share, and preferred stock, with no par value, contained in the Registrant’s Registration Statement on Form 8-A filed with the Securities and Exchange Commission on April 29, 1997, pursuant to Section 12 of the Securities Exchange Act of 1934, as amended, including any subsequently filed amendments and reports updating such description, is incorporated by reference into this registration statement.

The GulfMark Common Stock has been approved for listing on the New York Stock Exchange under the symbol “GLF”.
