Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On July 9, 2007, GulfMark Offshore, Inc. (the “Company”) filed an application to list its common stock, par value $0.01 per share (the “Common Stock”), on the New York Stock Exchange (“NYSE”) under the symbol “GLF”. Subject to approval by the NYSE of the Company’s listing application, the Company intends to delist its Common Stock from the NASDAQ Stock Market. The Company expects that its Common Stock will begin trading on the NYSE on July 20, 2007.

On July 9, 2007, the Company distributed a press release announcing the filing of the Company’s application to list its Common Sock on the NYSE. A copy of the press release is furnished herewith as Exhibit 99.1 to this Current Report on Form 8-K.
