   &lt;div align="justify" style="font-size: 10pt; margin-top: 10pt"&gt;&amp;#160;&amp;#160;&amp;#160;&amp;#160;&amp;#160;On July&amp;#160;21, 2004, we issued $160.0&amp;#160;million aggregate principal amount of 7.75% senior notes
   due 2014. The 7.75% senior notes pay interest semi-annually on January&amp;#160;15 and July&amp;#160;15. The 7.75%
   senior notes may be called beginning on July&amp;#160;15, 2011 at a redemption price of 101.292% and on July
   15, 2012 and thereafter at 100% of the principal amount, plus accrued interest.
   &lt;/div&gt;
   &lt;div align="justify" style="font-size: 10pt; margin-top: 10pt"&gt;&amp;#160;&amp;#160;&amp;#160;&amp;#160;&amp;#160;At December&amp;#160;31, 2010, the fair value of these notes, based on quoted market prices, was
   approximately $164.5&amp;#160;million, compared to a carrying amount of $159.8&amp;#160;million.
   &lt;/div&gt;
   &lt;div align="justify" style="font-size: 10pt; margin-top: 10pt"&gt;&lt;b&gt;Facility Agreement&lt;/b&gt;
   &lt;/div&gt;
   &lt;div align="justify" style="font-size: 10pt; margin-top: 10pt"&gt;&amp;#160;&amp;#160;&amp;#160;&amp;#160;&amp;#160;On December&amp;#160;17, 2009, one of our wholly-owned subsidiaries (the &amp;#8220;Borrower&amp;#8221;) entered into a
   $200.0&amp;#160;million facility agreement (the &amp;#8220;Facility Agreement&amp;#8221;) with The Royal Bank of Scotland plc
   (&amp;#8220;RBS&amp;#8221;). The termination date under the Facility Agreement is December&amp;#160;31, 2012 and amounts
   borrowed are repayable in quarterly installments of $8.3&amp;#160;million with a final installment of
   $108.33&amp;#160;million. Loans under the Facility Agreement bear interest at the three month LIBOR rate,
   plus a margin of 2.5% per annum. The Facility Agreement is secured by certain vessels and GulfMark
   Management, Inc., the Borrower&amp;#8217;s parent, has pledged all of the shares of common stock in the
   Borrower to the agent, on behalf of the lender, as security for the Facility Agreement.
   &lt;/div&gt;
   &lt;div align="justify" style="font-size: 10pt; margin-top: 10pt"&gt;&amp;#160;&amp;#160;&amp;#160;&amp;#160;&amp;#160;The Facility Agreement is secured by certain vessels. We have unconditionally guaranteed all
   existing and future indebtedness and liabilities of the Borrower arising under the Facility
   Agreement and other loan documents. Such guarantee also covers obligations of the Borrower arising
   under any interest rate swap contract and other security documentation related to the Facility
   Agreement. The collateral that secures the loans under the Facility Agreement will secure all of
   the Borrower&amp;#8217;s obligations under any hedging agreements between the Borrower and RBS.
   &lt;/div&gt;
   &lt;div align="justify" style="font-size: 10pt; margin-top: 10pt"&gt;&amp;#160;&amp;#160;&amp;#160;&amp;#160;&amp;#160;The Facility Agreement requires compliance with financial covenants. The Facility Agreement
   also contains customary representations, warranties and affirmative and negative covenants. As set
   forth in the Facility Agreement, there are several occurrences that constitute an event of default,
   including without limitation, defaults on payments of amounts borrowed under the Facility
   Agreement, defaults on payments of other material indebtedness, bankruptcy or insolvency, a change
   of control applicable to GulfMark or the Borrower, material unsatisfied judgments, the occurrence
   of a material adverse change, and other customary events
   of default. Upon the occurrence of an event of default, RBS may terminate the Facility
   Agreement, declare that all obligations under the Facility Agreement are due and payable and
   exercise its rights with respect to the collateral under the Facility Agreement.
   &lt;/div&gt;
   &lt;div align="justify" style="font-size: 10pt; margin-top: 10pt"&gt;&amp;#160;&amp;#160;&amp;#160;&amp;#160;&amp;#160;At December&amp;#160;31, 2010, we were in compliance with all covenants, and had $166.7&amp;#160;million
   borrowed under the facility. At December&amp;#160;31, 2010, the fair value of borrowings under this facility
   is considered to be book value as the interest is at market rates.
   &lt;/div&gt;
   &lt;div align="justify" style="font-size: 10pt; margin-top: 10pt"&gt;&lt;b&gt;Revolving Loan Facility&lt;/b&gt;
   &lt;/div&gt;
   &lt;div align="justify" style="font-size: 10pt; margin-top: 10pt"&gt;&amp;#160;&amp;#160;&amp;#160;&amp;#160;&amp;#160;We currently have a $175.0&amp;#160;million Secured Reducing Revolving Loan Facility with a syndicate
   of financial institutions led by Den Norske Bank, as agent. The multi-currency facility is
   structured as follows: $25.0&amp;#160;million allocated to GulfMark Offshore, Inc.; $60.0&amp;#160;million allocated
   to Gulf Offshore N.S. Limited, a U.K. wholly owned subsidiary; $30.0&amp;#160;million allocated to GulfMark
   Rederi AS, a Norwegian wholly owned subsidiary; and $60.0&amp;#160;million allocated to Gulf Marine Far East
   Pte Ltd., a wholly owned Singapore subsidiary. The facility matures in 2013 and the maximum
   availability begins to reduce in increments of $15.2&amp;#160;million every six months beginning in December
   2011, with a final reduction of $129.5&amp;#160;million in June&amp;#160;2013. Security for the facility is provided
   by first priority mortgages on certain vessels. The interest rate ranges from LIBOR plus a margin
   of 0.7% to 0.9% depending on our EBITDA coverage ratio. The Secured Reducing Revolving Loan
   Facility is subject to financial covenants. At December&amp;#160;31, 2010, we were in compliance with all
   covenants and had no amounts drawn under this facility.
   &lt;/div&gt;
   &lt;div align="justify" style="font-size: 10pt; margin-top: 10pt"&gt;&lt;b&gt;Other Debt&lt;/b&gt;
   &lt;/div&gt;
   &lt;div align="justify" style="font-size: 10pt; margin-top: 10pt"&gt;&amp;#160;&amp;#160;&amp;#160;&amp;#160;&amp;#160;As part of the Rigdon Acquisition, we acquired the right to purchase a mortgaged vessel owned
   by one of our joint ventures in the event of the joint venture&amp;#8217;s default on that mortgage
   obligation. The purchase price of the vessel would be the outstanding balance on the mortgage,
   which was $2.9&amp;#160;million at December&amp;#160;31, 2010.
