("ID USA"), a wholly owned subsidiary of Saburah, to Sentry; (ii) the sale of all of the outstanding common shares and Series "A" preference shares of ID Systems Canada, Inc. ("ID Canada"), a wholly owned subisdiary of Saburah, to Sentry; (iii) the sale by Saburah to Sentry of that certain promissory note made in Saburah's favor by ID Canada in the principal amount of CDN $73,423.24; and (iv) the sale by Saburah to Sentry of that certain promissory note made in Saburah's favor made by ID USA in the principal amount of CDN $376,453.30.
