We have acted as special Maryland counsel to Urstadt Biddle Properties Inc., a Maryland corporation (the “Company”), in connection with the registration under the Securities Act of 1933, as amended (the “Securities Act”) of 400,000 shares of the Company’s common stock, $0.01 par value per share (the “Common Stock”), all of which are being offered and sold pursuant to the Company’s Dividend Reinvestment and Share Purchase Plan (the “Plan”), on the Company’s Registration Statement on Form S-3 (the “Registration Statement”) filed today with the Securities and Exchange Commission.

We have examined the Registration Statement and such corporate records, certificates and documents as we deemed necessary for the purpose of this opinion.
