Disposed of pursuant to the Merger Agreement, by and among Regency Centers Corporation ("Regency"), Hercules Merger Sub, LLC, Urstadt Biddle Properties Inc., UB Maryland I, Inc., and UB Maryland II, Inc. in exchange for 641 shares of Regency common stock having a closing price of $61.31 per share on the effective date of the mergers.
The Reporting Person is the direct beneficial owner of 1,200 shares of Class A Common Stock. In addition, he is the indirect beneficial owner of 650 shares of Class A Common Stock owned in the name of Charles D. Urstadt IRA Rollover Account for the benefit of Charles D. Urstadt.
