Item 1.02 – Termination of a Definitive Material Agreement

On February 6, 2009, Nationwide Financial Services, Inc. (NFS), Nationwide Mutual Insurance Company and Nationwide Corporation executed a termination agreement to terminate the Intercompany Agreement between the parties, dated March 10, 1997.

The termination agreement is effective as of January 1, 2009.
