Item 7.01                      Regulation FD Disclosure

At a meeting held on April 22, 2008, the Board of Directors of GS Financial Corp. (the “Company”) approved a quarterly cash dividend of $.10 per share.  By press release dated April 23, 2008, the Company announced the declaration of the quarterly cash dividend, which is payable on May 21, 2008 to shareholders of record on May 6, 2008.

For additional information, reference is made to the Company's press release dated April 23, 2008, which is included as Exhibit 99.1 hereto and is incorporated herein by reference thereto.  The press release attached hereto is being furnished to the SEC and shall not be deemed to be "filed" for any purpose except as shall be expressly set forth by specific reference to such filing in other filings of the Company into which may be incorporated.

Metairie, Louisiana, April 23, 2008

     Metairie, Louisiana – Albert J. Zahn, Jr., Chairman of the Board of Directors of

GS Financial Corp.  (Nasdaq: GSLA), holding company for Guaranty Savings Bank, announced that the Board of Directors, at its meeting on April 22, 2008, declared a quarterly cash dividend of $.10 per share.  The dividend is payable to shareholders of record as of  May 6, 2008 and will be paid on May 21, 2008.

     GS Financial Corp. provides community banking services through its wholly-owned subsidiary, Guaranty Savings Bank, a Louisiana chartered savings association, in the metropolitan New Orleans area.
