Item 8.01 Other Events.

On June 8, 2012 Syntroleum was notified that its common stock failed to maintain a minimum bid price of $1.00 over the previous 30 consecutive business days as required by the Marketplace Rules of The Nasdaq Stock Market. On December 6, 2012, the Company was granted an additional 180 calendar days till June 3, 2013, to achieve compliance. On April 11, 2013 the Company completed a one-for-ten reverse split of its common stock. Syntroleum was notified on April 26, 2013 by Nasdaq that the company has regained compliance and the matter is now closed.
