Item 8.01 Other Events.

On April 11, 2005, Syntroleum Corporation (the “Company”) announced that Ms. Carla S. Covey, the Company’s Vice President of Finance and Controller and principal accounting officer, had been named Senior Vice President of Finance and Chief Accounting Officer. Robert W. “Trey” Karlovich, III, previously the Company’s Accounting Manager, has replaced Ms. Covey as Controller.
