The reporting shares are owned directly by Delphi Venture Partners, LLC ("Delphi") a limited liability company. The reporting person holds less than a 10% interest of Delphi and is a co-manager of Delphi. The reporting person disclaims beneficial ownership of the reported securities except to the extent of his pecuniary interest therein.
