Item 1.01Entry into a Material Definitive Agreement.

 

On December 28, 2018, Novation Companies, Inc. (the “Company”) and its subsidiaries executed trades to sell a portfolio of mortgage securities to a non-affiliated third party for cash proceeds of approximately $8.5 million. These transactions were completed after a bidding process conducted by the Company and its financial advisors to determine the highest available bid for these securities. Such securities constituted all of the remaining mortgage securities held by the Company and its subsidiaries that the Company and its financial advisors believed to be salable.
