Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 26, 2023, Peter Hui, a member of the Boards of Directors (the “Boards”) of Enterprise Financial Services Corp (the “Company”) and its subsidiary, Enterprise Bank & Trust, notified the Company of his intention to not stand for re-election at the Company’s 2023 Annual Meeting of Shareholders to be held on May 10, 2023. Following the Annual Meeting, Mr. Hui will cease being a member of the Boards and the committees on which he serves. Mr. Hui has indicated that his decision to not stand for re-election is not the result of any disagreement with management or the Boards.
