Item 8.01 Other Events.

 

On March 15, 2005, US Unwired filed with the Securities and Exchange Commission a report on Form 10-K. The filing contained a report from Ernst & Young LLP (“E&Y”), its independent registered public accounting firm, offering an unqualified opinion on management’s assessment of the effectiveness of its internal control. However, E&Y expressed an adverse opinion on the effectiveness of management’s internal control over its financial reporting. The Registrant and E&Y concluded that the Registrant’s financial restatement due to operating lease accounting and leasehold depreciation practices that was identified and remediated subsequent to December 31, 2004 was the sole issue in management’s identification of a material weakness related to its financial reporting controls. No other material weaknesses were identified by management in performing their assessment and reaching their conclusion.
